Job Title: Mid-Level Corporate Associate – FALC

Location: Muscat, Oman

About the Role:
FALC is seeking an experienced Corporate Associate to join our dynamic team in Muscat. This is an excellent opportunity for a motivated lawyer with corporate law expertise to advance their career at one of Oman’s leading law firms.

Key Responsibilities:

  • Structure and execute complex M&A transactions, private equity investments, and joint ventures for major Omani corporations and regional investment funds.

  • Lead due diligence teams on multi-million acquisitions and advise on optimal deal structures under Omani law.

  • Counsel investment funds on regulatory frameworks, MOCIIP compliance, and foreign ownership structures.

  • Navigate complex FDI regulations to maximize foreign investor participation.

  • Advise boards of publicly listed companies on governance, disclosure obligations, and FSA regulatory matters.

  • Lead negotiations with counterparties on high-value transactions and coordinate with international counsel on cross-border deals.

  • Interface directly with C-suite executives and investment committee members of major institutional clients.

Requirements:

  • Law degree from a recognized university.

  • 5–7 years of corporate law experience, preferably in the GCC region.

  • Strong knowledge of Omani Commercial Companies Law and foreign investment regulations.

  • Excellent drafting skills in English; Arabic proficiency is highly advantageous.

  • Admission to practice law in Oman or eligibility for admission.

  • Strong analytical and communication skills.

  • Ability to work independently while collaborating effectively with teams.

تبحث شركة FALC عن محامي مؤسسي ذو خبرة للانضمام إلى فريقها الديناميكي في مسقط. هذه فرصة ممتازة لمحامي طموح يمتلك خبرة في القانون المؤسسي لتطوير مسيرته المهنية في واحدة من أبرز شركات المحاماة في عمان.

المسؤوليات الرئيسية:

  • هيكلة وتنفيذ صفقات الاندماج والاستحواذ المعقدة، والاستثمارات الخاصة، والمشاريع المشتركة للشركات العمانية الكبرى وصناديق الاستثمار الإقليمية.

  • قيادة فرق التدقيق القانوني على صفقات الاستحواذ الكبيرة وتقديم المشورة بشأن أفضل هياكل الصفقات وفق القانون العماني.

  • تقديم المشورة لصناديق الاستثمار حول الأطر التنظيمية، والامتثال لـ MOCIIP، وهياكل الملكية الأجنبية.

  • التعامل مع لوائح الاستثمار الأجنبي المباشر لتعظيم مشاركة المستثمرين الأجانب.

  • تقديم المشورة لمجالس إدارات الشركات المدرجة حول الحوكمة، ومتطلبات الإفصاح، والمسائل التنظيمية للـ FSA.

  • قيادة المفاوضات مع الأطراف الأخرى في الصفقات عالية القيمة والتنسيق مع المستشارين الدوليين للصفقات العابرة للحدود.

  • التعامل المباشر مع التنفيذيين على مستوى الإدارة العليا وأعضاء لجنة الاستثمار للعملاء المؤسسيين الرئيسيين.

المؤهلات المطلوبة:

  • شهادة قانون من جامعة معترف بها.

  • خبرة من 5–7 سنوات في القانون المؤسسي، ويفضل في منطقة الخليج.

  • معرفة قوية بالقانون العماني للشركات التجارية ولوائح الاستثمار الأجنبي.

  • مهارات صياغة ممتازة باللغة الإنجليزية؛ إجادة العربية ميزة كبيرة.

  • الحصول على ترخيص مزاولة المحاماة في عمان أو القابلية للحصول عليه.

  • مهارات تحليلية واتصالية قوية.

  • القدرة على العمل بشكل مستقل مع التعاون الفعال ضمن الفريق.
